Welcome to Looprin. These Terms and Conditions ("Terms") govern your access to and use of the Looprin mobile application ("App") and related services (collectively, the "Services"). By downloading, installing, or using our App, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Looprin, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and Community Guidelines. If you do not agree, you must not use our Services.

2. Eligibility Requirements

To use Looprin, you must:

• Be at least 13 years of age (or meet the minimum age requirement in your jurisdiction)
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using our Services under applicable laws
• Not have been previously banned or suspended from our platform
• Provide accurate registration information

3. Account Registration and Security

3.1 Account Creation

When creating an account, you agree to:

• Provide true, accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Use only one personal account (multiple accounts are prohibited)
• Not share or transfer your account to others

3.2 Account Security

You are responsible for:

• All activities that occur under your account
• Maintaining the confidentiality of your login credentials
• Immediately notifying us at support@looprin.com of any unauthorized access or security breach

4. User Content and Conduct

4.1 Content Ownership and License

You retain all ownership rights to content you post on Looprin. However, by posting content, you grant Looprin a non-exclusive, royalty-free, worldwide, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your content in connection with providing and promoting our Services.

4.2 Prohibited Content

You agree not to post, upload, or share content that:

• Is illegal, fraudulent, defamatory, or harmful
• Promotes violence, terrorism, discrimination, or hate speech
• Contains nudity, pornography, or sexually explicit material
• Infringes on intellectual property rights or privacy rights of others
• Contains false, misleading, or deceptive information
• Includes malware, viruses, or malicious code
• Constitutes spam, phishing attempts, or unsolicited advertising
• Exploits, harms, or attempts to exploit minors in any way
• Promotes dangerous or illegal activities

4.3 Prohibited Conduct

You agree not to:

• Harass, bully, or threaten other users
• Impersonate any person or entity
• Manipulate or abuse our reporting or flagging systems
• Use automated systems (bots, scripts) without authorization
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble the App
• Collect user information without consent
• Circumvent any security features or access restrictions

4.4 Content Moderation

We reserve the right, but have no obligation, to:

• Monitor, review, and moderate user content
• Remove or refuse to post any content that violates these Terms
• Take appropriate action against violating users, including warnings, suspensions, or permanent bans
• Report illegal activity to law enforcement

5. Marketplace and Commerce

5.1 Seller Responsibilities

If you sell items on Looprin, you must:

• Provide accurate, truthful product descriptions and images
• Honor all sales and fulfill orders promptly
• Ship items securely and provide tracking information
• Handle customer service matters professionally
• Comply with all applicable tax and business laws
• Only sell items you legally own or have rights to sell

5.2 Buyer Responsibilities

If you purchase items on Looprin, you must:

• Pay for items through our secure payment system
• Provide accurate shipping information
• Communicate respectfully with sellers
• Report problems through proper channels within specified timeframes

5.3 Transactions and Fees

• All marketplace transactions are conducted through our secure payment processing partners
• Looprin may charge service fees, transaction fees, or commission on sales
• All applicable fees will be clearly disclosed before transaction completion
• Payment processing fees are non-refundable
• Sellers are responsible for applicable taxes on their sales

5.4 Buyer Protection Policy

For eligible purchases, buyers may request refunds if:

• Items are not received within the expected delivery timeframe
• Items received are significantly different from the description
• Items arrive damaged or defective

Refund requests must be submitted within 14 days of confirmed delivery. We reserve the right to investigate all claims and make final determinations.

5.5 Prohibited Items

The following items are strictly prohibited from sale on Looprin:

• Illegal items, contraband, or stolen goods
• Weapons, firearms, ammunition, or explosives
• Drugs, controlled substances, or drug paraphernalia
• Counterfeit, replica, or unauthorized goods
• Adult content, services, or materials
• Hazardous or dangerous materials
• Live animals
• Recalled or unsafe products
• Items that promote hate, violence, or discrimination
• Prescription medications or medical devices
• Tobacco or vaping products (in restricted jurisdictions)

6. Intellectual Property Rights

6.1 Looprin's Property

The Looprin name, logo, design, and all related trademarks, service marks, graphics, and proprietary content are the intellectual property of Looprin Inc. You may not use, copy, or distribute these materials without our express written permission.

6.2 Copyright Infringement

We respect intellectual property rights. If you believe your copyright has been infringed, please contact us at support@looprin.com with:

• Identification of the copyrighted work
• Description of where the infringing material is located
• Your contact information
• A statement of good faith belief
• Your electronic or physical signature

7. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, store, and protect your personal information. By using Looprin, you consent to our data practices as described in the Privacy Policy.

8. Third-Party Services and Links

Our App may contain links to third-party websites, services, or content. We are not responsible for the content, accuracy, or practices of third-party services. Your use of third-party services is at your own risk and subject to their terms and policies.

9. In-App Purchases

If you make purchases through the App:

• All purchases are processed through Apple's App Store or Google Play Store
• Purchases are subject to the terms of the respective app store
• Prices are subject to change without notice
• Refunds are handled according to app store policies

10. Disclaimers and Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

LOOPRIN DOES NOT WARRANT THAT:

• The Services will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Services are free of viruses or harmful components
• Results obtained from use will be accurate or reliable
• User-generated content is accurate, reliable, or appropriate

WE ARE NOT RESPONSIBLE FOR:

• User-generated content or the conduct of users
• The quality, safety, or legality of items sold through the marketplace
• Transactions between buyers and sellers
• Third-party services or content

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

LOOPRIN, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

• Loss of profits, revenue, or data
• Loss of goodwill or reputation
• Service interruptions
• Cost of substitute services
• Personal injury or property damage
• Unauthorized access to your account

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Looprin Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Services
• Your content or materials
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your violation of any applicable laws or regulations

13. Account Suspension and Termination

13.1 Our Rights to Terminate

We may suspend or terminate your account immediately, without notice, if you:

• Violate these Terms or our policies
• Engage in fraudulent or illegal activity
• Pose a security or legal risk
• Create a negative experience for other users

13.2 Your Rights to Terminate

You may delete your account at any time through the App settings or by contacting support@looprin.com.

13.3 Effects of Termination

Upon termination:

• Your right to use the Services immediately ceases
• Your content may be deleted (though some content may persist in backups)
• Outstanding financial obligations remain due
• These Terms survive termination where applicable

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to contact us at support@looprin.com to resolve disputes informally. We'll attempt to resolve the dispute within 60 days.

14.2 Arbitration Agreement

If informal resolution fails, you agree that disputes will be resolved through binding arbitration rather than in court, except for:

• Small claims court matters
• Intellectual property disputes
• Injunctive relief requests

14.3 Class Action Waiver

You agree to bring claims only in your individual capacity and not as part of any class or representative action.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes through:

• In-app notifications
• Email to your registered address
• Notice on our website

Your continued use of the Services after changes constitutes acceptance of the modified Terms. If you don't agree with changes, you must stop using the Services.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in San Francisco County, California, and you consent to personal jurisdiction there.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Looprin.

17.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in full effect.

17.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

17.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
